Terms of Service

These Terms of Service (“Terms”) govern your use of the website kriyaxlabs.com (the “Site”) and any services provided by KriyaX Labs (“KriyaX Labs”, “we”, “us”, “our”). By accessing the Site or engaging us for services, you agree to these Terms.

KriyaX Labs is a GST-registered proprietorship based in Mangalore, Karnataka, India, offering software development, AI, and product services, and publishing its own portfolio of products.

Services are delivered under separate engagement documents (proposals, statements of work, or contracts) which define scope, deliverables, timeline, and fees. These Terms apply alongside any such document; where they conflict, the engagement document prevails.

Information on the Site, including service descriptions, timelines, and indicative pricing, is for general reference and does not constitute a binding offer.

Fees are stated in the applicable engagement document. Applicable Goods and Services Tax (GST) and other statutory taxes will be charged in addition unless expressly stated otherwise.

Unless otherwise agreed in writing, ownership of deliverables transfers to the client upon full payment. KriyaX Labs retains ownership of pre-existing tools, frameworks, and reusable components, and reserves the right to use knowledge and experience gained during an engagement.

The Site itself, including its design, text, graphics, logos, and trademarks, is the property of KriyaX Labs and is protected by applicable intellectual property laws.

You agree not to:

• Use the Site in any way that violates applicable laws or regulations.
• Attempt to gain unauthorised access to systems or data.
• Scrape, copy, or redistribute Site content without permission.
• Interfere with the normal operation of the Site.

Both parties agree to maintain the confidentiality of non-public information exchanged during an engagement and to use it only for the purpose of delivering the services. A separate NDA may be executed where required.

Our deliverables may integrate third-party services (hosting, AI providers, payment gateways, etc.). Use of such services is subject to their own terms. We are not responsible for their availability, performance, or pricing.

The Site and its content are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Warranties related to paid services, if any, are set out in the applicable engagement document.

To the maximum extent permitted by law, KriyaX Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability under any engagement shall not exceed the fees paid by the client for that engagement during the three (3) months preceding the event giving rise to the liability.

You agree to indemnify KriyaX Labs against claims arising from your misuse of the Site or breach of these Terms, except where such claims are caused by our gross negligence or wilful misconduct.

We may suspend or terminate your access to the Site or services at any time for breach of these Terms. Termination of a paid engagement is governed by its own engagement document.

These Terms are governed by the laws of India. The courts at Mangalore, Karnataka shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

We may update these Terms from time to time. The effective date at the top of this page reflects the most recent version. Continued use of the Site after changes constitutes acceptance of the updated Terms.
